Terms of Service

These Terms of Service ("Terms") govern your access to and use of ManageYourProject (the "Service"). By creating an account or using the Service you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.

1. Accounts

You must provide accurate information and keep your credentials secure. You are responsible for activity under your account, including that of members you invite. You must be at least 16 years old, or the age of digital consent in your jurisdiction, whichever is higher.

2. Your content

You retain all rights to the data you put into the Service ("Customer Data"). You grant us a limited licence to host, copy, transmit and display Customer Data solely to provide and support the Service, and to create backups. We do not use Customer Data to train machine learning models. Where you use AI features, the relevant prompt is sent to our AI sub-processor for that request only and is not retained for training.

3. Acceptable use

You may not use the Service to store or transmit unlawful material, infringe intellectual property, send unsolicited bulk email, probe or breach security, reverse engineer the Service, resell it without a written agreement, or exceed documented rate limits in a way that degrades the Service for others. 4. Plans, seats and payment

Paid plans are billed in advance, monthly or annually, through Paddle.com as merchant of record. A "member" is a user who can create or edit work; guests, clients and view-only users are not billed. Adding a member mid-period is prorated; removing one issues a credit against the next invoice. Prices published on the pricing page are exclusive of tax; Paddle applies VAT, GST or sales tax where required.

5. Price protection

If we increase the list price of a plan, your rate remains at the price in effect when you subscribed for as long as your subscription is continuously active on that plan. This is a contractual commitment, not a promotion.

6. Lifetime licences

A lifetime licence grants the stated feature set and member cap for the operational lifetime of the Service, with no recurring fee. It does not include future add-on products priced separately, nor consumption-based resources beyond the included allowance. It is non-transferable except as part of a sale of the whole business.

7. Refunds

We refund in full within 30 days of a first payment on request, no questions asked. Annual plans are refunded pro rata for unused whole months in the first 90 days. Lifetime licences are refundable within 30 days of purchase. Refunds are processed by Paddle to the original payment method.

8. Trials, free plan and downgrades

The free plan is offered indefinitely and may change in scope with 30 days' notice. Trials require no card. If you downgrade or a trial ends, data above the new plan's limits is retained and remains exportable and readable for 90 days; features above the plan simply stop being available. We do not delete your work because you stopped paying.

9. Suspension and termination

You may cancel at any time from Billing; access continues until the end of the paid period. We may suspend an account for non-payment after two written notices, or immediately for a material breach of the Acceptable Use Policy or a security threat. On termination we retain Customer Data for 30 days, then delete it from live systems and within 90 days from backups.

10. Availability and support

We target 99.9% monthly availability, excluding announced maintenance. Enterprise agreements may include a contractual SLA with service credits — see the SLA. Support is by email for all plans; response targets by plan are published on the pricing page.

11. Warranty disclaimer

Except as expressly stated, the Service is provided "as is" without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant the Service will be uninterrupted or error-free. AI-generated output is a suggestion and must be reviewed by a human before it is relied upon.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our aggregate liability is limited to the amounts you paid in the twelve months preceding the claim, or US$100 if you are on a free plan. Nothing limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.

13. Indemnity

You will indemnify us against third-party claims arising from Customer Data or your breach of these Terms. We will indemnify you against third-party claims that the Service infringes their intellectual property, provided you notify us promptly and let us control the defence.

14. Changes

We may amend these Terms. Material changes are announced by email and in-app at least 30 days before they take effect. Continuing to use the Service after that date constitutes acceptance. Prior versions are available on request.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which the operating entity is registered, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of those courts. Nothing deprives a consumer of mandatory local protections.
